## THE NODE — GUEST LICENCE AGREEMENT

**Location:** The Node, second floor, 5 West Gay Street, West Chester, PA 19380 (the "Space")
By completing a booking you agree to this Agreement. Please read it.
### 1. What this is
This Agreement grants you a **personal, revocable, non-exclusive licence** to use shared workspace facilities at the Space during the period you have booked. It is a licence to use services and facilities. **It is not a lease and does not grant you any estate, interest, or possessory right in the Space or any part of it.** No landlord-and-tenant relationship is created between you and HTS.
You are a guest of HTS. HTS remains in occupation and control of the Space at all times and continues to use it for its own business.
### 2. No exclusive possession
You are not granted exclusive possession of any part of the Space. HTS and its personnel, other guests, and HTS's contractors and invitees may enter and use any part of the Space at any time.
Where your booking includes a workstation, private office, or meeting room, HTS will designate which one is available to you **at the time of your visit**. No specific workstation, office, or room is allocated to you, promised to you, or reserved for your continued use.
### 3. Substitution and access
HTS may, at any time and without liability:
(a) designate a different workstation, office, or room of broadly comparable type for your use;
(b) enter any part of the Space, including any office you are using, for operational, safety, maintenance, or security purposes;
(c) alter the layout, configuration, or available facilities of the Space.
HTS will give you such notice as is reasonably practicable, but is not required to give notice in an emergency.
### 4. Period
Your licence runs only for the period stated in your booking confirmation and **ends automatically when that period expires.** No notice to quit is required.
Bookings do not renew automatically. A recurring booking continues **only for the current paid month** and either party may decline to continue it, for any reason, with no notice beyond the end of that month. Repeated bookings do not create any right of renewal, expectation of continued use, or interest of any kind.
### 5. Fees
Fees are as shown at booking and are payable in advance. Fees are consideration for a licence to use facilities and services, and are **not rent**.
You authorise HTS to retain a payment method on file and to charge it for: fees for bookings you make; charges properly due under clause 9 or 10; and any fees, damage, or costs expressly provided for in this Agreement.
**Cancellation and refunds.** You may cancel more than 24 hours before your booking starts for a full refund. Cancellation within 24 hours of the start is refunded at 50%. No refund is due once the booking has started. Where HTS cancels under clause 11, you receive a **full refund** regardless of notice.
### 6. Your access credential
HTS will issue you an access credential valid only for the doors and the period covered by your booking.
Your credential is **personal to you and must not be shared, lent, copied, or transferred.** You must not admit any other person to the Space, hold open any door, or defeat any access control. If you bring a visitor, they must be booked and credentialed separately.
HTS may suspend or revoke any credential immediately, without notice, where HTS reasonably believes it has been shared or misused, where fees are unpaid, or where clause 10 applies.
### 7. Hours
The Space is available only during the hours stated in your booking. Your credential will not operate outside them. Access to the building itself is subject to the building owner's arrangements for common areas, which are not under HTS's control.
### 8. Cameras, access logging and monitoring
**You should read this clause carefully.**
The Space and the building's common areas are covered by video surveillance. Entry and exit at controlled doors is logged, including the time and the credential used. Aggregate occupancy counts may be displayed publicly; these are counts only and do not identify individuals.
By using the Space you acknowledge that you are being recorded and that access events associated with your credential are logged. **You should have no expectation of privacy in any shared or common area of the Space.** Recordings and logs are retained and used for security, safety, and the operation of the Space, and may be disclosed where HTS is required to do so by law or where necessary to investigate an incident.
Wireless network access provided to guests is a segregated guest network. **You must not attempt to access any HTS system, network, or device.** Do not treat the guest network as private or secure; use your own encryption for anything sensitive.
### 9. Your property
You are responsible for your own property. **HTS is not a bailee of, and accepts no responsibility for, any property you bring to the Space**, however loss or damage occurs. Do not leave valuables unattended. HTS does not insure your property; you should.
Anything left in the Space after your booking ends may be removed and stored, and if unclaimed after 30 days, disposed of. HTS may charge reasonable costs of removal, storage, or disposal.
### 10. Conduct
You must:
(a) use the Space only for lawful business or professional work;
(b) not cause nuisance, disturbance, damage, or unreasonable noise;
(c) respect the quiet working environment and other guests;
(d) not hold events, or invite members of the public, without HTS's written consent;
(e) not use the address of the Space as a registered office, business address, or address for service, or for receiving mail or deliveries;
(f) comply with all reasonable directions of HTS staff and with the building rules;
(g) not bring animals other than assistance animals, weapons, or hazardous materials into the Space;
(h) not smoke or vape anywhere in the building.
**HTS may terminate this Agreement immediately and revoke your credential** where you breach this clause, where your conduct threatens the safety or reasonable enjoyment of others, or where HTS reasonably suspects unlawful activity. Where HTS terminates for cause, no refund is due.
You are liable for any damage you or your visitors cause, beyond fair wear and tear.
### 11. HTS may reclaim the Space
**HTS may need to reclaim all or part of the Space at short notice** for its own business use, or on the requirement of the building owner.
HTS may therefore terminate this Agreement, or any booking, at any time by notice to you. HTS will give as much notice as is reasonably practicable and will, at its option, offer you comparable alternative arrangements or **a full refund of any amount paid for the period not used**.
You acknowledge that this possibility is fundamental to this Agreement and to the fee charged, and that you have no claim against HTS in respect of it beyond that refund. **You acquire no right to remain in the Space in any circumstances.**
### 12. Liability
Nothing in this Agreement limits liability for death or personal injury caused by negligence, or for fraud, or any other liability that cannot lawfully be limited.
Subject to that, HTS is **not liable for indirect or consequential loss, loss of profit, loss of business, loss of data, or loss of opportunity**, and HTS's total liability arising out of or in connection with this Agreement is limited to the total fees you have paid to HTS in the three months before the event giving rise to the claim.
HTS does not guarantee uninterrupted availability of the Space, network access, power, heating, or any facility.
### 13. Indemnity
You will indemnify HTS, and the owner of the building, against all claims, damages, losses, and costs arising from your use of the Space, the conduct of your business there, any act or omission by you or your visitors, and any breach of this Agreement — except to the extent caused by HTS's own negligence or wilful misconduct.
### 14. Data
HTS processes your personal data — contact details, booking history, payment records, access logs, and camera recordings — to operate the Space, meet legal obligations, and keep the Space secure. Details are in the Privacy Notice at thenodewc.com/legal/privacy.
Booking and agreement records are retained for **seven years**; access logs for **one year**; any identity document captured for **90 days** after your booking ends, unless an incident is open. You may request access to or deletion of your data, subject to records HTS must keep by law.
### 15. General
This Agreement is the entire agreement between you and HTS about your use of the Space, and replaces any earlier understanding.
HTS may vary this Agreement for future bookings by publishing an updated version; the version you accepted at booking governs that booking.
You may not assign or transfer this Agreement or any booking.
If any provision is unenforceable, the rest continues in force.
This Agreement is governed by the laws of the Commonwealth of Pennsylvania, and the courts of **Chester County, Pennsylvania** have exclusive jurisdiction.
